The earliest crossbow designs were made of wood, with simple pull-back mechanisms that required significant strength to operate. This modernization has led to some of the most advanced crossbows ever created, and its rich history is full of interesting developments. However, the crossbow has undergone significant modernization in recent centuries to improve its durability, accuracy, and power. The crossbow has been a staple in warfare and hunting for centuries, and its basic design has changed very little. They used crossbows in their expansion era, ultimately vital to establishing their empire. As a result, crossbow makers became highly respected professionals in the ancient world, with their weapons playing a crucial role in battles. The Egyptians also used the crossbow to improve their military strategy during their reign. Due to this, Persian crossbowmen were often highly valued and extensively trained in using their weapons. They used them against Alexander the Great’s troops during the Battle of Gaugamela. The crossbows allowed the Persian soldiers to hit their targets with deadly precision, which helped halt Alexander’s forces from advancing further into their territory. ![]() They allowed his armies to attack from afar, keeping them out of reach of enemy arrows.Īnother ancient civilization that made extensive use of the crossbow was the Persians. However, during the reign of Alexander the Great, he realized the importance of crossbows and encouraged their use throughout his armies. The Greeks also used crossbows but more often favored traditional archery. Eventually, this weapon spread worldwide, and various civilizations quickly realized the potential of the crossbow in warfare. The Romans introduced it to their armies, where it proved quite useful and was used to great effect in battles. Known as the Chukonu, it was a handheld weapon that could shoot arrows with great force. ![]() Possessing great range, piercing power, and ease of use, it quickly became a deadly weapon of choice that often proved decisive on the battlefield. One such weapon that was favored by many civilizations ‘Crossbow ‘. Armies would engage in long battles, with soldiers relying on their weapons to turn the tide of the war. In ancient times, warfare was brutal and unforgiving.

Could a sail this big be made flat enough to sail at very close angles and still fly? The wider and larger a sail, the more overall camber it needs or it just flaps. The fundamental dilemma was that shaping was needed to support this extra area. ![]() By comparison, a genoa has a mid-girth of 50 percent. The original Whitbread rule required that the “mid-girth” be no less than 70 percent of the foot length. Asymmetrics function well at relatively high angles, but could they be pushed further? So, naturally, creative minds wondered if it was possible to make an asymmetric spinnaker that could sail upwind, or at least nearly upwind. Whitbread rules didn’t allow masthead genoas but permitted masthead asymmetric spinnakers. ![]() Thus, Code Zero was the perfect name for a sail that could sail at closer angles than any spinnaker in the inventory. Codes 2, 3, and 4 were used at progressively broader angles. Although every team had their own version by the end of the race, Paul Cayard and the winning EF Language team first realized the sail’s potential and got the lion’s share of the credit for its development.įor most syndicates the spinnaker designed for the tightest wind angles was designated as the Code 1 Reacher. What makes the Code Zero more useful are advances in furling technology, which can make them easier to handle, and the addition of bow sprits of various lengths that help create more space for the sail.ĭuring the 1998-99 Whitbread Race, the term Code Zero was coined to define what was basically an upwind asymmetric spinnaker, its shape and geometry born from the limitations imposed by the class rule. Genoa-powered boats don’t get as much benefit since they already have a good sized reaching option. These usually are fractionally rigged but have spinnaker halyards that are well above the forestay or even masthead. Ease that non-overlapping jib out on a reach, and there is just not that much sail there to power the boat up. These sails are particularly useful on modern racing and cruising boats which now feature non-overlapping jibs as primary headsails. Often referred to as the “Code Zero,” it is essentially an asymmetric spinnaker designed to act like a large, loose-luffed reaching genoa.Ĭode Zero Spinnaker Photo Provided By Quantum Sails Fortunately the last 25 years have witnessed the development of specialty light to moderate reaching sails that are just the ticket. We search for anything that can get us going. Information on the individual light wind additional sails and their areas of application can be found here in the polar diagram in our dimension sheet additional sails. An Asymmetric Spinnaker Designed to Act like a Large, Loose-Luffed Reaching GenoaĪs we settle into the dog days of summer here on the Chesapeake Bay, wind is an ingredient often in short supply. The code zero is another light wind additional sail, which perfectly closes the gap between genoa and gennaker. Whether runner (A1 / A2) for broad reach to downwind courses or reacher (G1 / G2) for half wind to broad reach courses or code zero. We manufacture the gennakers according to your wishes. Gennakers are either driven free-flying or on a furling system. Buy a gennakerĪsymmetrical spinnakers are also known as gennakers. There are symmetrical and asymmetrical spinnakers. With a spinnaker in the narrower sense, the center width (the connection between half of the luff and half of the foot) is >75% of the foot. However, spinnakers have their own characteristics that not every sail fulfills. In principle, all sails that are raised before the forestay can be called spinnakers. The spinnaker – or spi for short – is a particularly large, deep profiled foresail made of light cloth, which is used down wind and on a broad reach course to enlarge the sail area. ![]() Here is an important point that often goes overlooked. ![]() In essence, the Chief of Staff will not be around to be held accountable for any of the budget decisions he has made. The horse trading happens about two-and-a-half years before the appropriation, which authorizes obligations and expenditures that will occur years later. The decision maker relies on bits and pieces of information which filter through several layers of bureaucracy. ![]() Horse trading at the highest level sounds good - the Chief of Staff has a “birds eye” view of the Army portfolio to make such tradeoffs. There’s always a slew of “unfunded requirements” where goodies can be handed out. Programs that don’t do enough justification will be targets by those in the Army, OSD, and Congress - they will take funding away and provide it to programs which justified themselves better to those echelons. Roth on the defense budget called “ No mysteries, please.” Read the whole thing. That was from an excellent article by Margaret C. And so the horse-trading is done by him,” said Passero, who shepherds the budgeting and executes spending for combat systems and Soldier equipment through the program objective memorandum cycle. “Now you’ve got the deep dives by the chief of staff of the Army. With the passage of the legislation, Milley reinvigorated the approval process with the direct involvement of his office and the vice chief’s. Previously, the chief of staff delegated the verification of requirements to the deputy chief of staff, G-3 (operations and plans). The National Defense Authorization Act for Fiscal Year 2016 brought about a major shift in how these trades take place. The program objective memorandum is the primary document on which the services base decisions on program scope and spending, with supporting information on missions, objectives and alternatives. Contrary to what one might expect from the budget process, most of the actual horse-trading happens at a higher level inside the Pentagon during a separate but related process to develop the five-year program objective memorandum, well before the Army’s budget request goes to Congress. ![]() Exclusive: White House preparing draft national emergency order, has identified $7 billion for wallĤ2. The rules, which are being enforced as of Tuesday, mean a whole lot of listings on sites such as Airbnb will no longer be available for stays of less than 30 days unless property owners have gone through the city’s application process and received approval in the form of an official registration number.Īirbnb has called the rules a “de facto ban” on short-term rentals (STRs) that will hurt hosts and the tourism economy. Philadelphia has also passed restrictions on short-term rental sites, removing unlicensed short-term dwellings from Airbnb and other platforms.Travelers looking to rent an apartment for a few days in New York City will find slimmer pickings now that city officials have started enforcing new rules cracking down on short-term rentals. Santa Monica, California, banned renting apartments for less than 30 days, the Los Angeles Times reported, in addition to implementing other rules to regulate short-term dwellings. Other US cities have severely restricted Airbnbs. Speaking to the AP, Yedinsky added: “The city is sending a clear message to millions of potential visitors who will now have fewer accommodation options when they visit New York City: ‘You are not welcome.’” “New York City’s new short-term rental rules are a blow to its tourism economy and the thousands of New Yorkers and small businesses in the outer boroughs who rely on home sharing and tourism dollars to help make ends meet,” he said. ![]() Theo Yedinsky, the global policy director for Airbnb, said the latest enforcement would harm the New York tourist economy. Hosts have rejected the enforcement and said that the most recent crackdown could hurt families attempting to make ends meet by renting out their homes. ![]() Those living near short-term rentals complain that the dwellings bring disruption to local communities, including noise, parties and pollution. Supporters of the new law have long pushed for tighter regulation of Airbnb in New York and other cities, especially amid New York’s housing shortage. The latest regulations are expected to dramatically shrink the number of available listings. “In New York City, residential apartments should be for residential use,” Murray Cox of Inside Airbnb told the Associated Press. There are currently more than 40,000 Airbnb listings in New York, according to Inside Airbnb, a housing advocacy group that tracks listings in US and world cities. ![]() Platforms like Airbnb and Vrbo are required to make sure anyone using their platform in New York follows city rules. Hosts in violation of the new legislation could face fines from $1,000 to $5,000. Under the tighter regulations, eligible hosts must prove they live in the dwelling they are renting out and that the home is up to municipal safety codes and other regulatory requirements. The host has to reside in the dwelling unit, and guests must have access to all parts of the home. Legal short-term rentals are properties with no more than two people hosted. It said the city will spend time working with platforms to use its verification process. Klossner’s office is overseeing implementation of the new rules. “Registration creates a clear path for hosts who follow the city’s longstanding laws and protects travelers from illegal and unsafe accommodations, while ending the proliferation of illegal short-term rentals,” Christian Klossner, of the New York City mayor’s office of special enforcement, said in a statement to the Guardian. ![]() ![]() Once the deal closes, the positions will offset, leaving the cash spread available to cover the value of the oil and gas distribution (which those short Torchlight will also be short). Therefore, I have bought Metamaterial shares and shorted out the equivalent amount of Torchlight shares to capture the spread. The value of the ongoing business with Metamaterial will be valued at the $0.74 implied by the Metamaterial shares, as investors can switch their exposure to Metamaterial at any time.Īs you can see, even if we assume the Orogrande is worth the full amount implied by the distressed debt transaction, Torchlight shares are trading with a significant spread to their estimate post deal value. To take that into account, I'm going to look at the merger from the perspective of a Torchlight holder. In both cases before considering the value of the Torchlight oil and gas assets. With Metamaterial at $2.74 USD and Torchlight at $2.15 USD that implies a Metamaterial share will be worth $8.06, or equivalently, that a Torchlight share will be worth $0.74. I'm going to assume the ratio ends up at 3.75 Torchlight for every Metamaterial share, which I think is probably conservative. I think the ratio may end up being slightly less than that, as Torchlight gets credit for shares sold to raise cash above a minimum. Given Metamaterial shareholders are to own 75% of the combined firm, that would imply a ratio of 3.96 Torchlight for every Metamaterial share. Based on a recent press release, I estimate Metamaterial will have approximately 109 MM shares outstanding. I estimate approximately 144 MM Torchlight shares will be outstanding at the close of the transaction. Starting from Torchlight's most recent quarterly report, I went through and added up the number of shares outstanding, plus new issuances for cash, debt conversion, and the assumption that in-the-money warrants and options will exercise. Given Metamaterial shareholders will only be getting a stake in the combined business and no other consideration, I'm not going to value their business separately, as I don't think that's especially relevant for the trade I'm making here. I think that is a very best case scenario for Torchlight shareholders, and I'll present cases showing a sensitivity to this factor. The combination of those three sums comes to $93.7 MM. However, to give Torchlight the benefit of the doubt I'll assume the full $80.9 MM. Given the area around Orogrande isn't a prolific part of Texas (with minimal drilling in the area) I think it's also possible that Orogrande could be worth $0. Nevertheless, even if we assume it was and take full value that would imply a value of $80.9 MM for the entire stake. The probability of them being able to repay that debt wasn't overwhelmingly high, so I doubt it was worth its face value. Orogrande has a couple of recent transactions surrounding it, and the highest priced was the conversion of $7.3 MM of debt into a 6% working interest. That burdens the economics of any development and makes the land less valuable than it otherwise would be. That means he will receive 4.5% of all revenues while not contributing toward any capital or operating costs. One factor reducing the value is that, according to the most recent 10-Q, the chairman of Torchlight holds a 4.5% royalty interest in a private company. ![]() The company has a 66.5% interest in the Orogrande project which they have been trying to market for some time. That leaves only their Orogrande project. They also sold their Winkler project for proceeds of $350,000. I'm going to assume this option gets exercised, as oil prices are up substantially since it was granted. They've granted an option to a buyer on their Hazel asset already for $12.4 MM, and I think it's most of the value. Prior to the deal announcement TRCH shares traded around $0.30 per share, and I think that's a reasonable guess at the value of the special dividend on TRCH shares. The deal seems largely designed to tap into current market enthusiasm for green energy assets. Torchlight holders will also get a distribution that will allow them to receive the proceeds from the sale of the oil and gas assets (or the rights to a spin-off of those assets). The arrangement specifies that Metamaterial holders will get 75% of the new shares, while TRCH holders will get 25%. The transaction is essentially a reverse merger, with Metamaterial getting a NASDAQ listing for their firm, which is a clean energy business, while Torchlight (a subscale oil and gas company) gets paid for their shell. Metamaterial ( OTCPK:MMATF) is merging with Torchlight Energy Resources ( TRCH). ![]() Afterwards, follow the on-screen instructions to fill out the required information for your club.
